Corporate Legal Administrator
The Corporate Legal Administrator is to report to the Group Legal Counsel based in Singapore (“GC”) with matrix responsibility to the Group CFO. The role is to work under supervision of GC to provide legal and administrative support in the running of the group corporate and legal activities. The corporate activities include but not limited to reviewing and drafting of legal contracts for product solutions, procurement agreements and M&A transactions.
The role is accountable to the GC to ensure that the group operates to the bounds of the law and complies with applicable regulations. The role will also serve as a strategic partner to the local team in providing guidance on a variety of matters, including contract negotiation, employment law, intellectual property protection, regulatory compliance, corporate governance, corporate secretariat management etc.
Key Responsibilities:
- Contract Review and Drafting:
- Review, negotiate, and drafts various contracts, employment and HR related documents, lease agreements and licensing agreements.
- Provide guidance to ensure that the company’s interests are protected and that the contracts and agreements comply with relevant laws and regulations.
- Compliance and Risk Management:
- Support the group’s GC and external counsel to oversee legal compliance and corporate secretariat matters in the organization.
- Monitor changes in laws and provide legal training to product and operating organizations.
- Assist the GC in managing legal risks and resolving disputes.
- Document Management:
- Organize, maintain and safe keep legal documents in a paper or electronic filing system.
- Establish standard legal documents to ensure consistency.
- Merger and Acquisition:
- Support GC and local teams in mergers, acquisitions, and other corporate activities.
- Conduct due diligence, assist in negotiating and drafting of transaction documents.
- Provide feedback and a view to the company on the entire process
- Legal research:
- Conduct research, gather and analyze statutes, decisions, and legal articles, codes, documents, and other data applicable to transactions.
- Gather relevant information from legal databases, libraries, and other sources and compile summaries for review.
- Partners Engagement:
- Work with and support product, sales, procurement, and operation in corporate legal matters.
Qualifications and Skills:
- Certification or an associate degree in paralegal studies or a bachelor’s degree in any field preferably related to law or business and international relations.
- A general understanding/working knowledge of contracts and companies’ regulations in particular sales contracts, confidentiality agreements and procurement and supply contracts.
- Able to draft contracts and identify legal issues.
- Strong oral and written communication skills, particularly English.
- Well-versed in documentation and reporting
- Proficient with Microsoft Office, specifically Outlook, Word, and Excel.
- Excellent organizational skills.
- Must be able to effectively multi-task, manage time-sensitive documents and have good organizational skills in a fast-paced environment.
- Must be able to function effectively in a busy, team-oriented environment.
- Office administration experience.
- 3-5 years PQE
